PushAlert Affiliate Marketing Program Terms and Conditions

1. Agreement

This agreement governs the terms and conditions for affiliates participating in the PushAlert Affiliate Marketing Program. By signing up for the program, you agree to comply with the terms outlined below.

2. Enrollment in the Program

To join the PushAlert Affiliate Program, affiliates must complete and submit the application form via the PushAlert affiliate platform. We reserve the right to approve or reject any application at our sole discretion without the need for justification.

3. Affiliate Responsibilities

Affiliates are responsible for actively promoting PushAlert's web push notification services through appropriate marketing channels such as websites, blogs, social media, and email. Affiliates must:

  1. Use only the links, banners, and other marketing materials provided by PushAlert.
  2. Ensure compliance with all local, state, and federal regulations, including privacy laws and advertising guidelines.
  3. Avoid making any false claims or misleading statements about PushAlert's products.
  4. Clearly disclose their affiliate relationship in compliance with FTC and other relevant regulations.

4. Affiliate Links and Promotions

Upon acceptance into the program, affiliates will be given unique referral links to track the sales generated through their marketing efforts. Key conditions for using these links:

  1. Links must not be altered or manipulated.
  2. Referral tracking cookies will last for 60 days, meaning sales completed within this period will be credited to the affiliate.
  3. Affiliates are prohibited from using Pay-Per-Click (PPC) campaigns targeting PushAlert's branded keywords or trademarks without prior written consent.

5. Commission Structure

Affiliates will receive a commission on the sale of PushAlert subscriptions generated through their unique referral links. The current commission rate is 30% of the sale value for monthly subscription and 20% for yearly subscription. The following terms apply:

  1. Commissions are based on the subscription's net revenue, excluding discounts, refunds, or applicable taxes.
  2. Commissions are earned only for paid subscriptions, and free trials or other non-paid signups do not qualify.
  3. If a customer cancels or requests a refund, the corresponding commission will be deducted from future payouts.

6. Payout Terms

Commissions will be paid on a NET60 basis, provided the affiliate reaches the minimum payout threshold of $100.

Payments will be processed via PayPal or bank transfer, and the affiliate is responsible for providing accurate payment information.

Payouts will be made after a 60-day verification period to ensure that the sale was valid and no refunds have been issued.

PushAlert is not responsible for any transaction fees incurred in receiving commission payments.

You are responsible for payment of all taxes and fees (including bank fees) applicable to the commission.

7. Prohibited Activities

Affiliates are expected to follow ethical marketing practices. The following activities are strictly prohibited:

  1. Engaging in spamming, unsolicited email marketing, or other forms of unapproved outreach.
  2. Promoting PushAlert on websites containing illegal, hateful, or inappropriate content.
  3. Using unethical tactics such as cookie stuffing or using deceptive landing pages.
  4. Misleading potential customers or providing false claims about PushAlert's features or pricing.
  5. Bidding on PushAlert's branded keywords or engaging in unauthorized paid advertising.

8. Term and Termination

This agreement will begin when your affiliate application is approved and will continue until terminated by either party. PushAlert reserves the right to terminate this agreement and the affiliate's participation in the program at any time, for any reason, with or without notice. Causes for termination include but are not limited to:

  1. Breach of any of the terms or conditions of this agreement.
  2. Engaging in prohibited activities.
  3. Inactivity in the program for more than [e.g., 6 months]. Upon termination, any unpaid commissions will be forfeited.

9. Modification of Terms

PushAlert reserves the right to update or modify these terms and conditions at any time. Affiliates will be notified of changes via email or the affiliate dashboard. Continued participation in the program after any modifications will constitute acceptance of the revised terms.

10. Affiliate Relationship

The affiliate relationship is purely one of independent contractors. Nothing in this agreement shall be construed to create a joint venture, partnership, employment, or agency relationship between PushAlert and the affiliate.

11. Limitation of Liability

PushAlert will not be liable for any direct, indirect, incidental, or consequential damages, including loss of revenue, profits, or data arising out of participation in the affiliate program. PushAlert's total liability for any claims arising under this agreement shall not exceed the total commissions paid to the affiliate.

12. Governing Law

This agreement is governed by and construed in accordance with the laws of India. Any legal disputes arising out of or related to this agreement will be resolved in the courts of Jaipur, Rajasthan.

By joining the PushAlert Affiliate Program, you acknowledge that you have read, understood, and agree to these terms and conditions.
